Terms and Conditions - Agreement
To be an authorized affiliate of SEOintelligence.com, you agree to abide by the terms and conditions contained in this agreement. Please read this agreement carefully before registering and using the SEOintelligence.com service as an affiliate. By signing up for the SEOintelligence.com affiliate program, you indicate your acceptance of this agreement and its terms and conditions. SEOintelligence may change these terms of service at any time, without notification. Affiliates agree to abide by the changes within 7 days of updated terms. Affiliate Payout for SEOintelligence.com * New affiliates are given a $25 bonus credit when they open their account. * Currently SEOintelligence.com affiliate payout structure is a flat rate for each sale with a recurring commission for active referred subscribers. * SEOintelligence reserves the right to set different pay rates and prices for specific affiliates. * Currently our affiliate program is powered through internal hosted software which is integrated with an internal payment processing system using a 3rd party merchant account service, including PayPal. * We have a minimum payout of $50. If the balance of an affiliate's account is less than $50 the balance will roll over to the following month or until the minimum payout balance is met. * We pay our affiliates on a monthly basis. PayPal payments are made on or before the 5th of each month. SEOintelligence.com Does Not Permit * SEOintelligence has strict anti-spam policies regarding internet programs. SEOintelligence does not condone spam by affiliates. This includes, but is not limited to, spam via email, instant messaging, ICQ, chat rooms, message boards, or online forums. Unsolicited advertising in any form is not condoned by SEOintelligence in any manner. Any affiliate found to be involved in any of these type of activities will be terminated and shall expect no affiliate payment compensation. * Any affiliate whose site promotes or contains content pertaining to Warez, Bestiality, Rape, Child Pornography, acts of violence, or other illegal content will have their accounts terminated immediately. * Sites that promote illegal activity, terrorism, anti-government activity or discrimination based on race, sex, religion, sexual orientation or physical disability are not permitted to participate in SEOintelligence's affiliate program. * Any affiliate who violates or infringes upon 3rd party copyright, trademark, patent, or any intellectual property rights will have their account terminated immediately, this includes, but is not limited, fraudulent activity against any other program. SEOintelligence Reserves The Right... * SEOintelligence reserves the right to terminate any affiliate for any reason, including but not limited to, fraud or suspected fraud. Fraud includes, but is not limited to, the submission of unauthorized purchases, or providing unsolicited advertisements. * Affiliates will not receive referral commissions from referred purchases which are returned for any reason. * SEOintelligence reserves the right to change the terms and conditions of their affiliate program without prior notice, including the right to discontinue this program. In the event that SEOintelligence discontinues its affiliate program, it will pay all affiliates the balance of their accounts except accounts lacking one or more referrals ending in a commission. * SEOintelligence is not obligated in any way to reveal the reasons for termination of referred affiliates. * The affiliate agrees to defend, indemnify, and hold harmless SEOintelligence and its directors, officers, agents, and employees for any and all losses, costs, liabilities or expenses (including, without limitation, reasonable attorneys' and expert witnesses' fees) incurred or arising from: - any breach of Affiliate's Covenants - any user-generated content or - any claims arising from the sale or license of goods or services promoted or made available through the campaign. * SEOintelligence's indemnity rights shall not be limited or offset by any contributory negligence by SEOintelligence. SEOintelligence may participate in the defense at its expense. * From time to time SEOintelligence may send e-mail to affiliates with regard to system updates, promotions, or offers. Affiliates agree to receive this e-mail by signing up for SEOintelligence Affiliate Program. This e-mail is provided on an opt-out basis -- an affiliate can unsubscribe from receiving these updates. What Is Required From The Affiliate? * Affiliates are required to enter their account details on our sign up form. Currently affiliates are required to have a PayPal account. * The minimum age for participation is 18. * SEOintelligence's service is made available to you "AS IS" and "AS AVAILABLE", and SEOintelligence makes no warranty as to its use or performance. * The potential affiliate warrants that he or she has the legal capacity to enter into a binding contract, and, if appropriate, has the authority to bind his or her principal or employers to the agreement. SEOintelligence Affiliate Members Must * As an affiliate member YOU have to regard the following: upon termination of an affiliate's account, the affiliate member must immediately cease using SEOintelligence names and images and representations of SEOintelligence thereof on their site.
